The ground rules for working together — what we deliver, what we need from you, how money and ownership work, and what happens if something goes wrong.

These terms are a starting point, not legal advice. Have them reviewed by a legal professional before launch, and fill in every [highlighted value] with the terms the business actually works to.
1. Accepting these terms
These terms apply when you use https://www.jubayerit.com and when you hire JubayerIT for any service. You accept them by approving a quote, paying a deposit, or asking us to begin work.
If we sign a separate written agreement with you, that agreement wins wherever it says something different. In this document, "we" and "us" mean JubayerIT; "you" means the client.
2. What we do
We are a web development and SEO agency based in Dhaka, Bangladesh, working with clients worldwide. Our services include website design and development, WordPress and WooCommerce work, search engine optimisation, content, website maintenance and paid social advertising.
SEO and advertising depend on search engines, platforms and competitors that we do not control. We work to recognised best practice and report honestly on what happens — but we do not promise specific rankings, traffic figures, sales or ad results, and you should be sceptical of anyone who does.
3. Quotes and project scope
Every project starts with a written quote. The quote lists what is included, what it costs and what the payment stages are. Anything not written in the quote is not in the scope.

- If your requirements change before we start, we reissue the quote rather than adjusting it silently.
4. What we need from you
Projects run on time when both sides do their part. Yours is mostly information and decisions:
- Content. Text, logos, images, product data and anything else you want on the site — unless content creation is listed in the quote.
- Access. Domain, hosting, existing website, analytics, ad accounts and any other logins we need. Share them through a method we agree on, and give us the access level the job requires.
- Feedback. Consolidated, timely responses at each review stage — ideally from one decision-maker on your side.
- Rights. Confirmation that you own or are licensed to use everything you send us. We rely on that.
If a project stalls waiting on you for more than [Insert inactivity period, e.g. 30 days], we may pause it, invoice for the work completed so far, and reschedule the remainder when you are ready.
5. Payment and invoicing
5.1 Deposit and stages
Project work is billed in stages. A deposit of [Insert deposit percentage, e.g. 50%] is due before we start; the remaining balance is due at the stages set out in your quote. Monthly services such as maintenance, SEO and ads management are invoiced [Insert billing cycle, e.g. monthly in advance].
5.2 Terms

5.3 Late payment
If an invoice is more than [Insert overdue period, e.g. 14 days] overdue, we may pause work and withhold delivery of outstanding files until the account is settled. We will always email you before pausing anything.
6. Revisions and scope changes
Revisions are part of the process. Your quote states how many rounds are included — typically [Insert included revision rounds] at each review stage. A revision means refining what was agreed: copy edits, spacing, colours, layout adjustments.
A change of direction is different. Adding pages or features, replacing an approved design, or switching platforms after build has started is new work. When that happens we tell you before doing anything, quote the extra cost and time, and wait for your written approval. You will never receive a surprise invoice from us.
7. Timelines
Every quote includes an estimated timeline based on the scope agreed and on receiving your content, access and feedback when expected. Estimates are honest projections, not guarantees.
Delays on your side move the delivery date by at least the same amount — our schedule is booked in advance, so a paused project resumes at the next available slot. If we are the cause of a delay, we tell you as soon as we know and give you a revised date.
8. Ownership of the work
8.1 What transfers to you
Once the final invoice for a project is paid in full, ownership of the deliverables built specifically for you — the design, the custom code, the content we wrote for you — transfers to you. Before final payment, we keep ownership and you have no licence to use the work commercially.
8.2 What stays with us
We keep ownership of our own reusable tools: internal components, boilerplate, scripts and techniques developed before or outside your project. You get a perpetual licence to use them as part of your website, but not to resell them separately.
8.3 Portfolio use
We may show the finished work — screenshots, a link and a short description of what we did — in our portfolio, case studies and social posts. If you would rather we did not, tell us in writing and we will leave it out or keep it anonymous. We never publish confidential figures, internal documents or anything you have asked us to keep private.
9. Third-party services and licences
Most projects use services and software we do not own: domain registration, hosting, email, plugins, themes, fonts, stock images, payment gateways and advertising platforms. Those come with their own terms and their own fees.
- Third-party costs are yours unless the quote clearly says we cover them.
- Licences and renewals are registered in your name wherever possible, so you keep control.
- We choose reputable providers, but we are not responsible for their outages, price changes, policy changes or discontinued products.
10. Confidentiality
Anything you share with us that is not public — business plans, pricing, customer data, credentials, unreleased products — stays confidential. We use it only to do your work, share it only with team members who need it, and do not disclose it to anyone else unless the law requires it. The same applies in reverse to our quotes, processes and internal documents.
This obligation continues after the project ends. We are happy to sign your own NDA if you have one.
11. Limitation of liability
We do our work carefully and fix our own mistakes at our own cost. But there are limits to what any agency can be responsible for.
- Our total liability for any claim connected to a project is capped at [Insert liability cap, e.g. the fees you paid us for that project].
- We are not liable for indirect losses — lost profit, lost data, lost business opportunity or reputational harm.
- We are not liable for problems caused by third-party outages, hacking of accounts outside our control, changes you or another party make to the site after handover, or search engine and advertising platform policy changes.
- Keeping backups after handover is your responsibility, unless you are on a maintenance plan that includes them.
Nothing here limits liability that cannot lawfully be limited.
12. Ending a project
Either side can end a project in writing at any time. If you cancel, you pay for the work completed and any third-party costs already committed on your behalf; anything beyond that is handled under our Refund Policy.
We may end a project if payments stop, if the working relationship becomes abusive, or if we are asked to do something illegal or against a platform's rules. In that case we invoice for work completed and hand over everything you have paid for. Monthly services can be cancelled by either side with [Insert notice period, e.g. 30 days] written notice.
13. Governing law
These terms are governed by the laws of the People's Republic of Bangladesh, and the courts of [Insert court jurisdiction, e.g. Dhaka] have jurisdiction over any dispute.
Before anyone goes to court, both sides agree to try to sort the problem out directly — a call, a written summary of the issue and a genuine attempt to reach a fair outcome. Most disagreements are a misunderstanding about scope, and most are fixable in a conversation.
14. Changes to these terms
We may update these terms as our services change. The version published here on the day you approve a quote is the version that applies to that project — later edits do not change an agreement already in progress. The "Last updated" date at the top shows the current version.
